Overview
A contract is a plan for the relationship between two parties, and its value shows when something goes wrong. Our contract law specialists draft, review and negotiate agreements so that the terms are clear, enforceable and fair to the people who rely on them.
We work with businesses and individuals on everything from one-page service terms to long-form construction and supply contracts. Clear drafting costs less than a dispute, and we aim to leave no important question unanswered.
If a breach or termination dispute does arise, we read the contract closely, set out the remedies available and pursue a resolution through negotiation, mediation or court.
Good contracts begin with good questions. Before drafting, we ask what each party must deliver, by when, at what price, and what happens if the plan changes. The answers become clear obligations, defined terms, payment and delivery steps and a workable process for variations.
Before you sign, we review the clauses that most often cause disputes: liability and indemnity, termination, penalties, intellectual property, confidentiality, governing law and the way disagreements will be resolved. We explain each one in plain language and suggest wording that protects you without making the deal unworkable.
After signature, a contract still needs managing. We help clients keep records of notices and changes, track key dates such as renewals and notice periods, and respond properly when the other side asks for a variation or claims a breach.
