Five Contract Details Worth Checking Before Signature

Jun 23, 2025

Most contract disputes start with a detail nobody read closely. Before signature, a short checklist of five points can prevent months of argument. It does not replace a full review, but it shows where to look first.

1. The parties and their authority

Check that the names, registration numbers and addresses are correct, and that the person signing has authority to bind the company. A beautifully drafted contract is of little use if the wrong entity signs it.

2. Scope and deliverables

Describe what each side will do, by when, and to what standard. Vague words such as reasonable efforts or timely delivery invite disagreement. Attach specifications or a schedule when the work is technical.

3. Price and payment

Confirm the amount, currency, taxes, invoicing dates and the consequence of late payment. Check whether prices can change and who bears the cost of extras.

4. Term and termination

  • How long does the contract run, and does it renew automatically?

  • Who can end it early, and on how much notice?

  • What happens to unpaid amounts and work in progress?

  • Which clauses continue after the contract ends?

5. Liability and disputes

Look at limits on liability, indemnities and insurance. Check which law applies, where disputes will be decided and whether the parties must try mediation first.

A final read

Read the definitions and the schedules last. Terms defined at the back often change the meaning of clauses at the front. Keep a signed copy and a record of who approved each version.

When to ask for help

Ask counsel to review anything long term, unusually favourable to the other side or involving large sums. This sample article offers general information and does not describe the law of a particular jurisdiction.
